I-DEP Indirect Channel Partner

Thank you for your interest in I-DEP's valued group of Indirect Channel Partners. As you know, I-DEP is the industry leading deposition broadcasting and digital recording company, that enables attorneys and legal professionals all over the world to participate in legal proceedings, right from their own offices and computers. While I-DEP's internal sales department has enjoyed great success in creating awareness of, and demand for, I-DEP throughout the legal community, we realize that only with the advocacy and support of our indirect channel partners can we hope to reach into the far corners of the legal industry.

Unlike companies who sell software with only limited support, I-DEP recognizes that service is a critical piece to the puzzle. To that end, I-DEP has put together an indirect channel program with a number of levels of involvement and commitment from which to choose. As a service-oriented company, I-DEP understands the needs as well as the limitations of our channel partners - and we remain flexible to work around your specific business requirements. The program is simple: the greater your commitment, the greater the rewards. Please read through the five different options available to you and then we can discuss where you think your firm fits in.

Please note that the respective Compensation Schedules reference a higher percentage available to those Indirect Channel Partners who use their own, previously purchased, I-DEP broadcasting and digital recording equipment, known as a DepStation™.

The five levels of I-DEP Indirect Channel partnership are as follows:

1. Referral Partner
I-DEP Referral Partners will not be providers of I-DEP services. Referral Partners will be entitled to promote and sell I-DEP services to its own clients and prospects. Referral Partners may be compensated in various ways, including: commission, sales leads and referrals, service discounts, etc.

2. Independent Sales Representative
I-DEP Independent Sales Representatives ("ISR") will not be providers of I-DEP services. ISRs are independent contractors who are given I-DEP selling rights. ISRs will be compensated by receiving a commission on the sale of I-DEP services.

3. I-DEP Master Provider
An I-DEP Master Provider is able to provide I-DEP services to its own as well as I-DEP clients. The Master Provider will receive all real-time transcript and appearance fees. If deposition set-up is required, the Master Provider will be entitled to a percentage of the I-DEP set-up fee. A Master Provider is required to purchase its own I-DEP DepStation™. I-DEP Master Providers may choose the Compensation model that best meets its needs, either Wholesale Pricing or Commission on I-DEP revenue. I-DEP Master Providers who choose the Wholesale model can maintain all I-DEP pricing and billing administration for their own clients. Master Providers will not receive any sales leads from I-DEP nor will I-DEP personnel be made available for sales calls or presentations to the firm's clients or prospects. Firm is able to market itself as an I-DEP Master Provider.

4. I-DEP Partner
An I-DEP Partner, in addition to receiving the benefits and fulfilling the obligations of an I-DEP Master Provider, will be contractually entitled to receive selected sales leads from I-DEP and the opportunity to become "Sales Certified" to represent I-DEP with or without an I-DEP representative. I-DEP Partners will also be allowed to sell non-I-DEP competitive services to these clients and prospects. Upon Sales Certification and the completion of the development of an I-DEP Marketing Plan, the firm will be eligible to receive I-DEP sales leads. Firm is able to market itself as an I-DEP Partner.

5. I-DEP Master Partner
An I-DEP Master Partner, in addition to receiving the benefits and fulfilling the obligations of an I-DEP Partner, will be contractually required to generate a specified amount of I-DEP service revenue over a specified period of time. In exchange for this commitment, Master Partners will receive the following wholesale discounts from I-DEP in addition to serving as the local Account Manager for I-DEP's own clients. Firm is able to market itself as an I-DEP Master Partner.
